Training venue, Legal Affairs Department Secretary Lei Yun provided an in-depth explanation, drawing on real-world business scenarios, focusing on the legal logic and practical key points concerning the validity of contracts. Taking “Source of Validity—Defects in Validity—Validity Undetermined—Remedies for Consequences—Practical Guidance” as the main thread, through Theory + Case + An innovative “interactive” model Systematically analyze the underlying logic behind the validity of contracts.
In the lecture on the validity of contracts, Lei Yun focused on the key aspects related to contract validity. First, she clarified that a valid contract must meet three essential requirements: qualified parties, genuine expression of intent, and lawful content, and used case comparisons to help the audience better understand these points. Next, she drew clear distinctions between invalid contracts—contracts that are void from the outset, including cases where persons lacking civil capacity enter into agreements—and voidable contracts—contracts that can only be invalidated through litigation or arbitration, covering four categories of grounds such as significant misunderstandings. Finally, she analyzed the possible outcomes of contracts whose validity is yet to be determined, and connected this analysis with... The scenario of “unauthorized agency” illustrates that its validity hinges on whether the company subsequently ratifies the act, while also highlighting the exceptional circumstances under “apparent agency.” The discussion further elaborates on the legal consequences associated with different validity statuses, including how to handle valid contracts, invalid or rescinded contracts, and contracts whose validity remains uncertain if they are not ratified—along with applicable rules regarding liquidated damages. Finally, addressing the pain points in corporate contract management, we propose a “three-step prevention and control approach” aimed at systematically mitigating contract validity risks throughout the entire process—from pre-signing, through the signing phase, to performance execution.
